Link TV proudly presents the ViewChange Online Film Contest to help educate people about global development success stories (the "Film Contest"). By entering this Film Contest, you agree to these Official Rules. This Film Contest is void where prohibited by law.

  1. Contest Period/Sponsors: The Film Contest accepts online submissions during the submission period starting at 12:00:01 a.m. Pacific Time ("PT") on April 30, 2010 through 12:00:00 p.m. PT on September 3, 2010 (the "Entry Submission Period"). Sponsor: Link Media (d/b/a Link TV), 901 Battery Street, Suite 308, San Francisco, CA 94111.

  2. Eligibility: Contest is open to individuals who are at least 18 years of age or have reached the age of majority as determined by the laws in which the entrant resides at time of Entry. Employees of Sponsor, and its subsidiaries, affiliates, as well as the advertising and promotional agencies and anyone involved in the development, administration, fulfillment and execution of the Contest (collectively, "Contest Entities") and the immediate family members (spouse, parent, child, sibling) or those living in the same household of each are not eligible to enter or win.

  3. How to Enter: During the Submission Entry Period visit www.ViewChangeFilmContest.org (the "Contest Website") and sign up to be a Link TV member, which will require providing your name, email address, username and password, fill out the Filmmaker's Submission Form, accept the terms of use of the Contest Website, and then logging into the Film Contest select a category that fits the film you plan to submit, provide a thumbnail still image of your Film and brief summary of your Film, agree to the Official Rules and upload your original audiovisual work (the "Film") in compliance with these rules (The Film and Submission Form together are an "Entry(ies)"). Entries submitted online must be received by 12:00:00 p.m. PT on September 3, 2010. Entrants will receive an email confirmation once their submission(s) have been reviewed by a moderating panel. Any Entries received after September 3, 2010 will not be posted. To be eligible, all Entrants must still register as Link TV members. The person named on the Submission Form will be deemed the entrant ("Entrant" or "you"). Entries must be submitted by an individual; no group entries allowed. Incomplete, unreadable, unintelligible or otherwise non-compliant Entries will be disqualified. Entries will not be otherwise acknowledged or returned. Proof of submission of an Entry does not constitute proof of receipt by Sponsor. Entries become the property of the Sponsor.

  4. Requirements for Entry: All Films must include the ViewChange end slate at the end of the Submission (find it here) and must fulfill the category criteria as outlined on the Contest Website. There will be six themed categories that your Film should address: Sustainability, Innovation, Overcoming Conflict, Empowerment, Leadership & Governance, Local/Global Partnerships (the "Categories"). Your Entry must also comply with the following Submission Requirements prior to being posted online:
    • Entrant has received permission from anyone involved in the creation of the Film ("Third Party Participants") to submit the Film in this Contest and to grant the rights granted to Sponsor herein (and if requested from Sponsor, Entrant will provide evidence of this permission). Potential finalists will be required to provide evidence of these permissions prior to being announced as Finalists;
    • Films should not prominently display or refer to any other for profit companies' or product names, brands, trademarks or logos;
    • Films must be 5:00 minutes or less in length (excluding mandatory end slate);
    • Films must be prepared in WMV, AVI, MOV, or MPG file format;
    • Films cannot be larger than 100MB;
    • Films cannot contain any offensive material or any elements such as nudity, graphically violent imagery, sexually suggestive imagery, or material that is racially insensitive, profane, slanderous, disparaging to any person or third party, offensive to good taste, discriminatory on the basis of sexual orientation, religion or race or any subject which is contrary to the interests of Sponsor or contain anything that is contrary to the interests of any of the Contest Entities, as determined in the sole discretion of the Sponsor;
    • Once a Film is received it cannot be modified or edited
    • Entrants can enter as many different Films as they would like but multiple Films submitted by the same Entrant must be materially different and only one Film per Category will be accepted.
    • If a Film is rejected it can be edited and resubmitted.
    • Entries and Films must, to the extent text is used, be in the English language or subtitled in English (with the exception of single words or short terms from other languages which are permissible as long as their meaning is evident in the sole discretion of the Sponsor).

    Each Entrant also represents and warrants that: (i) the Film, and all elements thereof, are original and do not incorporate materials not owned or created by you, is not copied from any other work and does not infringe upon the rights of any third party; except that to the extent any elements are owned or were created by a third party ("Third Party Participants"), you either own or have a license to said elements or those elements are in the public domain; (ii) you have secured all rights and releases to all material contained in your Film, including images, likenesses of any recognizable individuals or organizations depicted in the Film ("Identifiable Persons"); (iii) the Film is free and clear of any liens, conflicting contractual rights or other claims with respect to the use of the Film in the manner authorized herein (including, but not limited to the right to record and/or publish the Film); (iv) use by the Sponsor of the Film as granted herein will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights or interests of any third party, or give rise to any claims for any payment whatsoever, including but not limited to claims for re-use fees or residuals; (iv) the Film is not and will not be defamatory, trade libelous, pornographic or obscene; and (v) if requested by Sponsor and/or if you are selected as a potential Finalist you will provide all releases and permissions to evidence your rights to the Film to Sponsor in the time frame required by Sponsor.

  5. Ownership/Use of Entries: Entrants retain ownership of the Films they submit, however, by entering you, on behalf of yourself and any Third Party Participants or Identifiable Persons, grant Contest Entities the perpetual, fully-paid, irrevocable, non-exclusive license to reproduce, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use, exhibit and perform throughout the world the Films in any manner, form, or format now or hereinafter created, including on the internet, and in all other media, telecast, broadcast, via mobile devices, as well as through any other media and format now known or hereinafter developed for any purpose, including, but not limited to, advertising or promotion of Contest Entities and Contest Entities' services, all without further consent from or payment to you, Identifiable Persons, Third Party Participants or any other third parties. Sponsor reserves the right to post the Films on the Sponsor's Website or the Contest Website but Sponsor has no obligation to post or publish your Film and any such publication or postings will be in Sponsor's sole discretion. In addition, by submitting a Film, Entrants acknowledge that, by acceptance of an Entry, Contest Entities, do not waive any rights to use similar or related ideas that might be contained in a Film which was previously known to Sponsor, or developed by their respective employees, or obtained from sources other than Entrant, or rights to use similar or related ideas without any restriction whatsoever, or further obligation to Entrants or any Third Party Participants or Identifiable Persons. In the event of any dispute or potential dispute regarding the Entry or Entrant, Third Party Participants, Identifiable Persons or any third party, the Entry may be disqualified in Sponsors' sole discretion.

  6. Prizes: One (1) First Prize winner from each category will win $5,000.00 USD; One (1) Grand Prize winner selected from among all the Categories will win $20,000.00 USD. All federal, state, provincial and local taxes, if any, are the sole responsibility of the winners. If required by law, the Sponsors will issue and file an IRS form 1099 in the name of prize winners for the value of the prizes awarded and will require a social security number for that purpose. Prizes are non-transferable.

  7. Winner Selection: All Entries will be judged as follows:

    Round One: All submitted Films will be reviewed for compliance with the rules as stated herein. Once approved, eligible Films will be posted on the Contest Website for Viewer Voting and Sponsor Judging.

    Viewer Voting: Voting will commence September 4, 2010 at 12 a.m. PT and will continue through 11:59 p.m. PT September 15, 2010 ("Voting Period"). Viewers will be able to vote for their favorite Film in each Category by registering as a member of Link TV, logging on to the Contest Website and following the onscreen prompts ("Registered Voter(s)"). Only one Registered Voter can vote for their favorite Film in each category per Day per person/computer address. A Day starts at 12:01 a.m. PT and ends at 11:59 p.m. PT each calendar day of the Voting Period. Sponsor's designated computer is the official time keeping device for the purposes of this Film Contest. Voters can change their vote during the Day and the last vote for any given Film will be what is recorded for that Day as valid Vote. In the event of a tie in the highest number of Votes, the tying Entries will be judged by the Sponsor based upon the Judging Criteria below to determine the winners. The top two Films based on the highest number of valid Votes (as determined by Sponsor) will become 2 of the 5 Finalists.

    Sponsor Judging: The Films will also be judged by Sponsor based on judging criteria as follows: (1) relevance to the Category theme; (2) emotional impact; (3) originality; (4) creativity; and (5) technical quality and production values ("Judging Criteria"). In the event of a tie, the tying Entries will be re-judged by the Sponsor based on all the Judging Criterion. The top 3 Films based on the highest scores of the Sponsor Judges will become 3 of the 5 Finalists.


    Final Round: The Top 5 Finalists' Entries (2 from Viewer Votes and 3 from Sponsor Judging) will then be judged in the final stage of the Contest which will commence on or about September 18, 2010 and continue on or about October 15 2010 (or until the Judges have determined the winners) by an expert panel of judges designated by Sponsor based on the Judging Criteria. In the event of a tie, the tying Entries will be judged by the Sponsor based upon the Judging Criteria to determine the winners. The Film receiving the top score in each of the 5 Categories will be the Category Winner. The Film receiving the highest score overall will be the Grand Prize Winner. Limit: one Category Winner per person.

    Registered Voters will be subject to the Terms of Use on the Contest Website. Votes that do not comply with these Official Rules or that result from fraud or collusion, may be disqualified in Sponsor's sole discretion. If an Entrant is found to have engaged in any fraud of any kind, all of that Entries' votes will be disqualified. Sponsor reserves the right to void all Votes made through any robotic, automatic, mechanical, programmed or similar entry duplication method and to disqualify any individual and/or his/her Votes using such a method. Sponsor reserves the right, in its sole discretion, at any time and at any stage of the submission, voting or judging process, to reject or disqualify any Entry that is deemed ineligible or for any reason that the Sponsor feels is necessary and/or appropriate, including without limitation, if that entrant has not complied with the Official Rules or has interfered, in Sponsor's sole opinion, with the proper conduct of the Contest. The posting of a Film does not guarantee eligibility or advancement to Viewer Voting or Judging rounds.

    Requirements for Finalists: Sponsor will verify the Finalists during the period of September 16, 2010 through September 18, 2010. All potential Finalists will be required to execute an affidavit of eligibility, release and license (collectively, "Release") and provide all necessary documentation evidencing rights from Third Party Participants and Identifiable Persons as required by Sponsor ("Permissions') as a condition to the potential Finalist being declared the Finalist and moving on to the Final Round. Entrants can download and print the required Permissions from the Contest Website and mail them to Sponsor by following the instructions provided. If a potential Finalist, or any corresponding Third Party Participant or Identifiable Party is a Minor as determined by the laws of the state in which s/he resides, then any required documentation must be signed by that Minor's parent or legal guardian. If a potential Finalist does not return the required Release of Permissions or if a Third Party Participant or Identifiable Person does not return the required Permissions within fourteen days from the date of notification, or if an Entrant is found to be ineligible for any reason, the potential Finalist may be disqualified and will forfeit any rights to the prize and the next runner up will be selected.

  8. Winner Notification: Sponsors will notify the potential winners on or about October 15, 2010, by email, phone and/or postal mail. In order to be declared a winner, the potential winners (and any Third Party Participants) will be required to execute an assignment within 5 days of receipt of notification granting all right, title and interest in their Film to Sponsor or will forfeit their rights to a prize. The Winners' names and locations will be announced on the Contest Website.

  9. General Conditions: By participating, Entrants agree (a) to be bound by these Official Rules and the decisions of the Sponsor and the judges which shall be final in all respects, (b) agree that they are bound by Sponsor's Terms of Use, Privacy Policy, and other site policies and Posting Requirements regarding the uploading and posting of their Film, (c) agree that any dispute arising under this Contest will be governed by, and construed in accordance with, the laws of the State of California, United States of America, without giving effect to any choice of law or conflict of law rules, (d) consent to the jurisdiction and venue of the federal, state, and local courts located in San Francisco, California, and (e) hereby release the Contest Entities, and its officers, directors, agents, representatives and employees; and those individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from or in connection with participation in this Contest and/or acceptance or use of any awarded prize. By entering this Contest, unless prohibited by law, each Entrant grants to the Contest Entities the right to use, display, distribute or publish such Entrant's name, likeness, photograph, voice, address (city and state/province and country), biographical information, and any material based thereon or derived therefrom, and his/her Entry or to refrain from so doing, in any manner in any and all media, whether now known or hereafter devised, anywhere in the world in perpetuity without limitation or compensation and without additional notice (except that the name of Tennessee residents who do not so consent will not be used for purely publicity purposes). Submitting an Entry constitutes a waiver, by Entrant, on his/her behalf and on behalf of Identifiable Persons and Third Party Participants, if any, of any claims to compensation, royalties, or other remuneration for all uses of the Entry by Contest Entities or their respective agents that are permitted or granted hereunder. Entrants agree to indemnify and hold the Released Parties harmless from and against any claims arising out of a breach by Entrant of any of the representation and warranties contained in these Official Rules. The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or documents, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays, inability to upload or download or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by any prize or resulting from the acceptance, possession or use or misuse of such prize, or from participation in the Contest; or (v) any printing, human typographical, administrative or technological errors in any materials associated with the Contest. Sponsor disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Contest, and reserves the right, in its sole discretion, to cancel, modify or suspend the Contest should a virus, bug, computer problem, unauthorized intervention, human error or other error, corrupt the administration or security or fair play of the Contest. If insufficient Entries are received, or if no Entry submitted meets minimum reasonable criteria for a prize, in the Sponsors' sole and final discretion, fewer prize awards may be made. Sponsors shall not be responsible if the Contest cannot be implemented or if a prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. Any and all disputes, claims, and causes of action arising out of or in connection with this Contest, shall be resolved individually, without resort to any form of class action. Any claim or cause of action arising out of or related to this Film Contest, the Contest Website, or these Official Rules must be filed within one (1) year after such claim or cause of action arose regardless of any status or law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be barred. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS CONTEST. ENTRANT (AND THEIR PARENTS OR LEGAL GUARDIANS IF ENTRANTS ARE MINORS) HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY'S/LEGAL FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, IDENTIFIABLE PERSONS, OR THIRD PARTY PARTICIPANTS, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CONTEST. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY/LEGAL FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

  10. Privacy Policy: Sponsor will be collecting personal data about Entrants online, in accordance with its privacy policy. Please review the Sponsor's privacy policy posted on http://www.linktv.org/privacy. By participating in the Contest, Entrant hereby agrees to Sponsor's collection and usage of Entrant's personal information and acknowledges that entrant has read and accepted Sponsor's privacy policy.

  11. Official Rules and Winners List: For a copy of the official rules or the name of the winners (available after October 30 2010), mail a self-addressed, stamped envelope to: "ViewChange Online Film Contest," c/o Link TV, P.O. Box 2008, San Francisco, CA 94126-2008. (VT residents may omit return postage from Official Rule requests). Please note on the front left corner of the envelope that you are requesting "Official Rules" or "Winner's List". Requests must be received by December 31, 2010.
